RWA Terms of Service
Welcome to the RWA website and Platform. These Terms of Service (“Terms”) are of utmost importance as they govern your access to and use of the RWA platform. By accessing or using the RWA Platform, you agree to be bound by these Terms, so please read them carefully.
1. Overview of RWA is a software-as-a-service platform that acts as a bridge, connecting issuers and investors for private investment opportunities. The RWA Platform facilitates the offering, sale, and monitoring of investments represented by digital tokens on the Ethereum blockchain.
2. Accounts and Registration
To use the RWA Platform, you must create an account and complete our verification process. This may include identity checks, accreditation reviews, and other compliance requirements under applicable laws and issuer rules. You represent that all information provided is accurate and agree to update it as needed. Accounts are non-transferable.
RWA is not a broker-dealer, investment advisor or regulated market. We provide no financial, legal or tax advice regarding investments. You, as the user, are solely responsible for evaluating suitability and risks based on your circumstances and investment objectives, which empowers you to make informed decisions.
3. Investments and Offerings
The RWA Platform presents potential investments from issuers, including entities managed by RWA. Each offering has its terms, rules and risks that you must carefully review. RWA does not guarantee any offering’s investment return or business objectives. Investments are highly speculative, with risks of partial or total loss.
4. Blockchain Services
Using blockchain technologies like cryptocurrency and smart contracts carries risks, including security vulnerabilities, software errors, regulatory uncertainty and tax implications. You accept responsibility for determining applicable laws and any taxes related to your cryptocurrency transactions.
5. User Conduct
You agree to use the RWA Platform only for lawful purposes in compliance with these Terms. Prohibited activities include any illegal, fraudulent, abusive, or infringing conduct. This commitment to lawful use ensures a secure and protected environment for all users. You will not interfere with RWA’s systems or other users. Feedback and ideas provided to RWA are non-confidential.
6. Intellectual Property
The RWA Platform, content and materials are owned by RWA and protected by intellectual property laws. You have a limited license to access and use the Platform for authorised purposes only. Except as permitted, you may not copy, modify, distribute or create derivative works using RWA’s intellectual property.

The RWA Platform may contain links to third-party sites, applications, and services over which RWA has no control. RWA provides these for convenience only and does not endorse or assume liability for any third-party content, products, services, or practices.

By creating an account, you consent to receive electronic communications from RWA regarding your account and transactions. You agree that communications provided electronically satisfy legal notice requirements.

RWA reserves the right to suspend or terminate your account and platform access at any time, without liability, if you violate these Terms. It's essential to adhere to these Terms to avoid any disruption to your account.
11. Disclaimers; Limitation of Liability
The RWA platform and all content are provided "as is" without any warranty. RWA disclaims all representations and warranties to the fullest extent permitted by law. RWA will not be liable for any indirect, consequential, punitive, or special damages, or any lost data, revenue, profits, or business opportunity arising from these terms or your use of the RWA platform. Some jurisdictions may not allow disclaimers or limitations of liability, so the above may not fully apply.
12. General
The laws of the United Kingdom will govern these Terms and any dispute without regard to the choice of law principles. Any unenforceable provision will not affect the remainder of the Terms. RWA may update these Terms by providing notice through the Platform. Your continued use after any updates constitutes acceptance. These Terms are the entire agreement between you and RWA for the Platform, superseding any prior agreements.
RWA’s failure to enforce any right is not a waiver. You may not assign these Terms to any third party. If any provision of these Terms conflicts with other terms governing a specific RWA service, the other terms will control for that service.
